Abstract

This study investigates the impact of corporate governance on the financial performance of listed manufacturing companies in Nigeria The proxies of corporate governance used in this study include board size, board gender diversity and board expertise, while financial performance (dependent variable) was proxy with Return on Assets (ROA). The study adopted secondary source of data and utilized descriptive statistics, multiple regression as well as product moment correlation co-efficient for the data analysis. The finding of the study revealed that at 5% (0.05) level of significance, board size, board gender diversity and board expertise have significant impact on the the return on assets of listed manufacturing companies in Nigeria. Therefore, the study concludes that corporate governance has a significant impact on the financial performance of listed manufacturing companies in Nigeria. The study suggests two key recommendations to improve corporate governance and financial performance in the Nigerian manufacturing sector. Firstly, regulatory bodies and industry stakeholders should collaborate to strengthen corporate governance frameworks by prioritizing diverse board compositions and ensuring regular updates. Secondly, enhancing knowledge and skills of board members and senior executives through tailored training, along with empowering women in leadership through mentorship and targeted recruitment, can lead to better decision-making and a more inclusive environment. These measures aim to enhance corporate governance, build investor trust, attract capital, and contribute to a resilient financial landscape.
